1. Acceptance of Terms

By accessing, browsing, or using the EventPass platform ("Platform", "Service", "we", "us", or "our"), or by registering for an account, you ("User", "you", or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") in their entirety. These Terms constitute a legally binding agreement between you and Rishabh ("Owner"), operating via https://rishabhj.in. If you do not agree to these Terms, you must immediately cease all access to and use of the Platform.

We reserve the right, at our sole discretion, to change, modify, add, or remove portions of these Terms at any time without prior written notice to you. It is your responsibility to review these Terms periodically for changes. Your continued use of the Platform following the posting of changes will mean that you accept and agree to the changes. As long as you comply with these Terms, we grant you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Platform.

2. Description of Service

EventPass is a comprehensive event management, ticketing, and access control platform designed to provide cryptographic security and frictionless entry experiences. The Platform provides tools for event organizers ("Organizers") to create events, manage guest lists, dispatch tickets via email or WhatsApp, and utilize our proprietary scanning technology (including "Kiosk Mode" and manual scanning capabilities) to authenticate guests at the point of entry.

The Platform may also provide analytics, real-time pulse monitoring, granular access control configurations, and other related services. You acknowledge that EventPass is continuously evolving and that the form and nature of the services which we provide may change from time to time without prior notice to you. We may stop (permanently or temporarily) providing the Service (or any features within the Service) to you or to users generally and may not be able to provide you with prior notice.

3. Account Registration and Security

In order to access certain features of the Platform, you may be required to create an account. You agree that any registration information you give to EventPass will always be accurate, correct, and up to date. Providing false or misleading information constitutes a material breach of these Terms.

You are entirely responsible for maintaining the confidentiality of the information you hold for your account, including your password, and for any and all activity that occurs under your account as a result of your failing to keep this information secure and confidential. You agree to notify EventPass immediately of any unauthorized use of your account or password, or any other breach of security. You may be held liable for losses incurred by EventPass or any other user of or visitor to the Platform due to someone else using your account or password as a result of your failing to keep your account information secure and confidential.

4. Privacy and Personal Information

Your privacy is very important to us. Our Privacy Policy makes important disclosures about how we collect, use, and protect your personal information. You agree to the use of your data in accordance with EventPass's Privacy Policy. For detailed information, please review our comprehensive Privacy Policy available on the Platform.

5. User Conduct and Restrictions

You agree not to use the Platform for any unlawful purpose or any purpose prohibited under this clause. You agree not to use the Platform in any way that could damage the Platform, the services, or the general business of EventPass.

You further agree not to use the Platform:

  • To harass, abuse, or threaten others or otherwise violate any person's legal rights.
  • To violate any intellectual property rights of the Owner or any third party.
  • To upload or otherwise disseminate any computer viruses or other software that may damage the property of another.
  • To perpetrate any fraud or engage in any fraudulent activity.
  • To engage in or create any unlawful gambling, sweepstakes, or pyramid scheme.
  • To publish or distribute any obscene or defamatory material.
  • To publish or distribute any material that incites violence, hate, or discrimination towards any group.
  • To unlawfully gather information about others.

Additionally, you are expressly prohibited from bypassing, circumventing, or attempting to bypass or circumvent any security measures, cryptographic signatures, or access controls implemented by EventPass. Any attempt to forge tickets, manipulate QR codes, or artificially inflate scan statistics is strictly prohibited and will result in immediate termination of your account and potential legal action.

6. Intellectual Property Rights

All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, and computer code (collectively, "Content"), including but not limited to the design, structure, selection, coordination, expression, "look and feel," and arrangement of such Content, contained on the Platform is owned, controlled, or licensed by or to Rishabh (https://rishabhj.in), and is protected by trade dress, copyright, patent and trademark laws, and various other intellectual property rights and unfair competition laws.

Except as expressly provided in these Terms, no part of the Platform and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any way (including "mirroring") to any other computer, server, Web site, or other medium for publication or distribution or for any commercial enterprise, without EventPass's express prior written consent.

7. Payments, Fees, and Subscriptions

Certain features of the Platform, specifically for events exceeding the Free tier threshold (100 guests), require payment of fees as outlined on our Pricing page. All fees are stated in Indian Rupees (INR) unless otherwise specified. You agree to pay all applicable fees related to your use of the Platform in a timely manner.

EventPass reserves the right to change its price list and to institute new charges at any time, upon notice to you, which may be sent by email or posted on the Platform. Your use of the Platform following such notification constitutes your acceptance of any new or increased charges.

Refund Policy: Due to the digital nature of the infrastructure provisioning and immediate availability of our software tools, all payments are non-refundable unless explicitly stated otherwise in a separate enterprise agreement or required by applicable consumer protection laws.

8. Disclaimer of Warranties

EVENTPASS DOES NOT PROMISE THAT THE PLATFORM OR ANY CONTENT, SERVICE, OR FEATURE OF THE PLATFORM WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ANY DEFECTS WILL BE CORRECTED, OR THAT YOUR USE OF THE PLATFORM WILL PROVIDE SPECIFIC RESULTS. THE PLATFORM AND ITS CONTENT ARE DELIVERED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. ALL INFORMATION PROVIDED ON THE PLATFORM IS SUBJECT TO CHANGE WITHOUT NOTICE. EVENTPASS CANNOT ENSURE THAT ANY FILES OR OTHER DATA YOU DOWNLOAD FROM THE PLATFORM WILL BE FREE OF VIRUSES OR CONTAMINATION OR DESTRUCTIVE FEATURES.

EventPass disclaims all warranties, express or implied, including any warranties of accuracy, non-infringement, merchantability, and fitness for a particular purpose. EventPass disclaims any and all liability for the acts, omissions, and conduct of any third parties in connection with or related to your use of the Platform.

9. Limitation of Liability

Except where prohibited by law, in no event will EventPass or its owner (Rishabh) be liable to you for any indirect, consequential, exemplary, incidental, or punitive damages, including lost profits, even if EventPass has been advised of the possibility of such damages.

If, notwithstanding the other provisions of these Terms, EventPass is found to be liable to you for any damage or loss which arises out of or is in any way connected with your use of the Platform, EventPass's liability shall in no event exceed the greater of (1) the total of any subscription or similar fees with respect to any service or feature of or on the Platform paid in the six months prior to the date of the initial claim made against EventPass, or (2) ₹10,000 INR.

10. Indemnity

You agree to indemnify and hold EventPass, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries, and affiliates, harmless from any demands, loss, liability, claims, or expenses (including attorneys' fees), made against EventPass by any third party due to or arising out of or in connection with your use of the Platform or your violation of these Terms.

11. Governing Law and Dispute Resolution

You agree that all matters relating to your access to or use of the Platform, including all disputes, will be governed by the laws of India without regard to its conflicts of laws provisions. You agree to the personal jurisdiction by and venue in the courts located in New Delhi, India, and waive any objection to such jurisdiction or venue.

In the event of any controversy or dispute between EventPass and you arising out of or in connection with your use of the Platform, the parties shall attempt, promptly and in good faith, to resolve any such dispute. If we are unable to resolve any such dispute within a reasonable time (not to exceed thirty (30) days), then either party may submit such controversy or dispute to mediation. If the dispute cannot be resolved through mediation, then the parties shall be free to pursue any right or remedy available to them under applicable law.

12. Miscellaneous

If any of the provisions of these Terms are held by a court or other tribunal of competent jurisdiction to be void or unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of these Terms, so that these Terms shall remain in full force and effect.

These Terms constitute the entire agreement between you and EventPass with regard to your use of the Platform, and any and all other written or oral agreements or understandings previously existing between you and EventPass with respect to such use are hereby superseded and cancelled.
