End User License Agreement (EULA)

IMPORTANT — READ CAREFULLY: This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity, hereinafter referred to as "Licensee") and Rishabh (hereinafter referred to as "Licensor"), for the software product identified above, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("SOFTWARE PRODUCT"). By installing, copying, accessing, or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install, access, or use the SOFTWARE PRODUCT.

1. GRANT OF LICENSE.

The SOFTWARE PRODUCT is licensed, not sold. Licensor grants you a personal, non-exclusive, non-transferable, and limited license to install and use the SOFTWARE PRODUCT strictly in accordance with the terms of this Agreement. You may install and use one copy of the SOFTWARE PRODUCT on a single server or cloud environment for your internal business purposes only.

2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.

• Maintenance of Copyright Notices: You must not remove or alter any copyright notices on any and all copies of the SOFTWARE PRODUCT.
• Distribution: You may not distribute registered copies of the SOFTWARE PRODUCT to third parties.
• Prohibition on Reverse Engineering, Decompilation, and Disassembly: You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
• Rental: You may not rent, lease, or lend the SOFTWARE PRODUCT.
• Support Services: Licensor may provide you with support services related to the SOFTWARE PRODUCT ("Support Services"). Any supplemental software code provided to you as part of the Support Services shall be considered part of the SOFTWARE PRODUCT and subject to the terms and conditions of this EULA.
• Compliance with Applicable Laws: You must comply with all applicable laws regarding use of the SOFTWARE PRODUCT.

3. INTELLECTUAL PROPERTY AND OWNERSHIP.

All title, including but not limited to copyrights, in and to the SOFTWARE PRODUCT and any copies thereof are owned by Licensor or its suppliers. All title and intellectual property rights in and to the content which may be accessed through use of the SOFTWARE PRODUCT is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This EULA grants you no rights to use such content. All rights not expressly granted are reserved by Licensor.

4. UPDATES AND NEW RELEASES.

Licensor may, at its sole discretion, provide updates, upgrades, patches, or new releases of the SOFTWARE PRODUCT. Such updates may be subject to additional terms or fees.

5. DATA AND PRIVACY.

By using the SOFTWARE PRODUCT, you acknowledge and agree that Licensor may collect, store, and use certain data and information related to your use of the SOFTWARE PRODUCT, as outlined in the Privacy Policy. You agree to ensure that any third-party data you process through the SOFTWARE PRODUCT complies with all applicable privacy regulations.

6. TERMINATION.

Without prejudice to any other rights, Licensor may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the SOFTWARE PRODUCT in your possession.

7. DISCLAIMER OF WARRANTIES.

To the maximum extent permitted by applicable law, Licensor provides the SOFTWARE PRODUCT "AS IS" AND WITH ALL FAULTS, and hereby disclaim all other warranties and conditions, whether express, implied, or statutory, including, but not limited to, any (if any) implied warranties, duties, or conditions of merchantability, of fitness for a particular purpose, of reliability or availability, of accuracy or completeness of responses, of results, of workmanlike effort, of lack of viruses, and of lack of negligence, all with regard to the SOFTWARE PRODUCT, and the provision of or failure to provide support or other services, information, software, and related content through the SOFTWARE PRODUCT or otherwise arising out of the use of the SOFTWARE PRODUCT. ALSO, THERE IS NO WARRANTY OR CONDITION OF TITLE, QUIET ENJOYMENT, QUIET POSSESSION, CORRESPONDENCE TO DESCRIPTION, OR NON-INFRINGEMENT WITH REGARD TO THE SOFTWARE PRODUCT.

8. LIMITATION OF LIABILITY.

To the maximum extent permitted by applicable law, in no event shall Licensor be liable for any special, incidental, punitive, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits or confidential or other information, for business interruption, for personal injury, for loss of privacy, for failure to meet any duty including of good faith or of reasonable care, for negligence, and for any other pecuniary or other loss whatsoever) arising out of or in any way related to the use of or inability to use the SOFTWARE PRODUCT, the provision of or failure to provide Support Services, or otherwise under or in connection with any provision of this EULA, even in the event of the fault, tort (including negligence), misrepresentation, strict liability, breach of contract, or breach of warranty of Licensor, and even if Licensor has been advised of the possibility of such damages.

9. ENTIRE AGREEMENT; SEVERABILITY.

This EULA (including any addendum or amendment to this EULA which is included with the SOFTWARE PRODUCT) is the entire agreement between you and Licensor relating to the SOFTWARE PRODUCT and the support services (if any) and they supersede all prior or contemporaneous oral or written communications, proposals, and representations with respect to the SOFTWARE PRODUCT or any other subject matter covered by this EULA. If any provision of this EULA is held to be void, invalid, unenforceable, or illegal, the other provisions shall continue in full force and effect.

10. GOVERNING LAW.

This EULA shall be construed and governed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising under or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.
